• Advise on M&A, Capital Market and financing matters for all areas of the Company, divisions, subsidiaries, and affiliates;

• Manage and, as required, lead corporate governance and the board of directors related matters, including preparing for and participating in board and committee meetings;

• Help with inter-company agreements, daily contracts with third party and advise on corporate structure matters, including incorporation and unwinding of corporate entities and general subsidiary management;

• Prepare and advise on equity plan documents and equity plan administration matters;

• Provide practical legal advice and support on a variety of topics affecting the business of the Company;

• Assist with the management of the legal aspects of all capital markets, financing and M&A transactions as well as litigation (if needed); and

• Keep abreast of legal and industry-specific regulatory changes on a regular basis.
